PLEASE READ THIS AGREEMENT CAREFULLY. By accessing or using the InvestN.AI website, software, platforms, systems, consulting services, or any related products or services (collectively, the “Services”), you agree to be legally bound by these Terms of Use and End User License Agreement (“Agreement”). If you do not agree to these terms, do not access or use the Services.

1. Definitions

“Company,” “we,” “our,” or “us” refers to InvestN.AI, a Wyoming limited liability company.

“User,” “you,” or “your” refers to any individual or entity accessing or using the Services.

“Software” refers to InvestN.AI’s proprietary technology, including but not limited to algorithms, indicators, automated or semi-automated trading logic, dashboards, scripts, systems, tools, updates, and related materials.

“Lifetime Access Fee” refers to the one-time fee paid for lifetime access to the Software and included consulting services, subject to this Agreement.

“Consulting” refers to general education, onboarding, configuration guidance, system explanations, and operational support related to the Software. Consulting does not include financial, investment, or trading advice.

2. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into this Agreement. By using the Services, you represent and warrant that you meet these requirements.

3. License Grant (End User License)

Subject to your compliance with this Agreement and payment of all applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your personal or internal business purposes.

IMPORTANT CLARIFICATIONS:

• The Software is licensed, not sold
• You are purchasing access, not ownership
• “Lifetime access” means access for as long as the Company continues to make the Software available, subject to this Agreement

You may not:

• Reverse engineer, decompile, modify, or copy the Software
• Resell, rent, lease, sublicense, or distribute the Software or access to it
• Share accounts, credentials, or access with unauthorized parties
• Use the Software for unlawful purposes or in violation of any regulation

The Company reserves the right to suspend or terminate your license immediately if you violate this Agreement.

4. Fees, Lifetime Access, Subscriptions & Refund Policy

4.1 Lifetime Access Fee

Unless expressly stated otherwise in writing, the primary fee paid by the User is a one-time Lifetime Access Fee, which includes:

• Lifetime access to InvestN.AI’s Software and systems
• Initial onboarding and setup guidance
• Ongoing general consulting related to Software usage and configuration

The Lifetime Access Fee is not:

• A performance fee
• A profit-sharing arrangement
• A brokerage or execution fee
• An investment or managed account service

Payment of the Lifetime Access Fee does not guarantee profits, performance, or trading success.

4.2 Optional Subscriptions & Third-Party Costs

Certain Services may require recurring fees (including, but not limited to, data feeds, hosting, platform access, or third-party integrations). These fees:

• Are disclosed at the time of purchase
• May change with prior notice
• Are billed separately from the Lifetime Access Fee

The Company is not responsible for third-party costs, broker fees, exchange fees, data fees, or platform charges.

4.3 Refund Policy

Refund Eligibility Period. The refund eligibility period applicable to each User is the number of days expressly stated in that User’s individually executed agreement with InvestN.AI. No refund request will be honored outside of that period. Users should refer to their signed agreement for the exact refund window.

Refund Amount – Difference Not Recovered. If a refund is approved, the amount refunded will equal only the difference not recovered by the User through use of the Software. The refund amount is calculated as the original Lifetime Access Fee paid, less any net profits, gains, or withdrawals realized by the User during the eligibility period. The Company does not refund amounts that have already been recovered through trading activity.

Automatic Void of Refund Eligibility. The refund policy is automatically and immediately voided — without any further action required by the Company — upon the occurrence of either of the following events:

• The User’s trading account(s) reflect cumulative net profits or gains exceeding the Access Fee at any point during the refund eligibility period; or
• The User withdraws cumulative funds in an amount exceeding the Access Fee from any account(s) associated with or funded for use with the Software during the refund eligibility period.

Rationale. Once a User has realized profits or withdrawn funds in excess of the Access Fee, the Company has no ability to monitor, control, or manage how those funds are reinvested, redistributed, or otherwise utilized. Accordingly, refund eligibility is permanently forfeited at that threshold. This threshold applies to the combined total of profits earned and/or withdrawals made.

⚠️ IMPORTANT: Once cumulative profits or withdrawals reach or exceed the Access Fee, refund eligibility is permanently voided regardless of any subsequent losses or account activity. This policy exists because InvestN.AI cannot control or manage client reinvestment decisions once funds have been realized or withdrawn.

No Refund on Third-Party Costs. The refund policy applies solely to the Lifetime Access Fee paid directly to InvestN.AI. Third-party fees, broker fees, data fees, or any other ancillary costs are non-refundable under any circumstances.

Refund Process. To initiate a refund request within the applicable eligibility period, Users must contact InvestN.AI in writing at support@investn.ai. The Company reserves the right to verify trading history, account statements, and net realized gains prior to approving any refund.

5. Risk Disclosure & Acknowledgment

Before using the Services, you should carefully consider your financial objectives, level of experience, and risk tolerance. Do not trade or invest money you cannot afford to lose.

You acknowledge and understand that all trading and investing involves substantial risk, and losses may exceed the amount initially invested. The performance of any system, algorithm, market, security, or strategy — whether discussed, displayed, or referenced — does not guarantee future results.

You are solely responsible for:

• All trading decisions made in your accounts
• Risk settings, leverage, position sizing, and execution parameters
• All profits, losses, or outcomes resulting from use of the Software

5.1 Technology & Internet Risk

The Services rely on Internet-based systems and third-party platforms. Risks include, but are not limited to:

• Hardware or software failures
• Connectivity interruptions
• Data delays or inaccuracies
• Broker, exchange, or platform outages

InvestN.AI is not responsible for execution delays, missed trades, system downtime, or communication failures resulting from Internet, broker, exchange, or third-party service disruptions.

5.2 U.S. Government Required Risk Disclosure

Trading foreign exchange, futures, CFDs, and leveraged instruments involves a high level of risk and may not be suitable for all investors. Leverage can work against you as well as for you.

There is a possibility that you could lose some or all of your initial investment. You should be aware of all risks associated with leveraged trading and seek advice from an independent, licensed financial professional if you have any doubts.

5.3 No Broker, Dealer, or Investment Advisor

The purchase, sale, execution, or advice regarding securities, currencies, or financial instruments may only be performed by a licensed broker or dealer.

Neither InvestN.AI nor any affiliate, partner, or associate is:

• A registered Broker/Dealer
• A Commodity Trading Advisor (CTA)
• A Commodity Pool Operator (CPO)
• An Investment Advisor or fiduciary

Users are encouraged to consult with a licensed professional of their choosing before making any trading or investment decisions.

5.4 No Performance Guarantees

No representation is being made that any account will or is likely to achieve profits or losses similar to those discussed or shown.

Past performance — actual, backtested, simulated, or hypothetical — is not indicative of future results.

5.5 Educational Use Only

Information provided through the Services:

• Is not an invitation to trade any specific investment
• Is provided for educational and informational purposes only
• Does not account for your individual financial circumstances

Trading involves risking capital in pursuit of potential gain. That decision is entirely yours.

5.6 CFTC Rule 4.41 – Hypothetical Performance Disclaimer

CFTC RULE 4.41 – HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS.

Simulated results do not represent actual trading. Since trades have not been executed, results may under- or over-compensate for market factors such as liquidity. Simulated trading programs are designed with the benefit of hindsight.

No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

6. No Financial Advice or Fiduciary Relationship

InvestN.AI is a technology and software provider only.

• We do not provide personalized investment advice
• We do not manage client funds
• No fiduciary relationship is created

All trading decisions remain solely your responsibility.

7. Acceptable Use

You agree not to:

• Use the Services in violation of any law or regulation
• Interfere with or disrupt system integrity
• Misrepresent affiliation with the Company

8. Intellectual Property

All Software, content, trademarks, and technology are the exclusive property of InvestN.AI or its licensors and are protected by applicable intellectual property laws.

9. Disclaimers & Limitation of Liability

The Services are provided “AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law, InvestN.AI disclaims all warranties and shall not be liable for:

• Trading losses or lost profits
• Data loss or system downtime
• Indirect, incidental, or consequential damages

10. Indemnification

You agree to indemnify and hold harmless InvestN.AI, its affiliates, officers, employees, and contractors from any claims, losses, or damages arising from your use of the Services or violation of this Agreement.

11. Privacy

12. Modifications

We may update this Agreement at any time. Continued use of the Services constitutes acceptance of the revised terms.

13. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming, USA.
